1. Agreement overview

This End User License Agreement ("Agreement" or "EULA") is a legal agreement between you ("User," "you," or "your") and Not a Budgeting Inc., a Delaware C-Corporation ("Company," "we," "us," or "our"), for your use of the Corki mobile application and any related services (collectively, the "App" or "Corki").

By downloading, installing, accessing, or using Corki, you confirm that you have read, understood, and agree to be bound by this Agreement. If you do not agree, do not download or use the App.

Important notice regarding Apple: This Agreement is between you and Not a Budgeting Inc. only, and not with Apple Inc. ("Apple"). Apple is not a party to this Agreement and is not responsible for the App or its content. However, Apple and its subsidiaries are third-party beneficiaries of this Agreement, and upon your acceptance, Apple will have the right to enforce this Agreement against you as a third-party beneficiary.

2. Age requirement and alcohol content

The App references alcoholic beverages including wine and other fermented and distilled products. You must be of legal drinking age in your jurisdiction to use this App. In most jurisdictions this is 18 years of age or older; in others it may be higher. By using the App, you represent and warrant that:

You are of legal drinking age in your country, state, province, or jurisdiction of residence;
You are not accessing the App on behalf of any person who is under legal drinking age; and
You understand that Corki does not sell, distribute, or solicit the purchase of alcoholic beverages.

The App is rated 18+ on the Apple App Store. If Apple or the Company discovers that the App is being used by a minor, the Company reserves the right to terminate that user's account immediately.

3. License grant

Subject to the terms of this Agreement, Not a Budgeting Inc. grants you a limited, non-exclusive, non-transferable, revocable license to download and use the App on any Apple-branded device that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.

This license does not include the right to:

Sublicense, sell, resell, transfer, assign, or commercially exploit the App;
Modify, reverse engineer, decompile, disassemble, or create derivative works based on the App;
Use the App for any unlawful purpose or in violation of any applicable laws or regulations;
Remove, obscure, or alter any proprietary notices, labels, or marks on the App; or
Use the App to develop a competing product or service.

4. Service tiers and in-app purchases

4.1 Free access (no account required)

Any user may access the App without creating an account. Guest access includes:

Menu, photo, and file-based pairing and meal-text pairing (subject to daily device limits, approximately 3 scans per day);
Restaurant search and "Surprise Me" location-based suggestions;
Limited Wine List Intel teaser access, subject to daily caps;
Sommelier Chat, subject to daily message limits; and
Educational and reference content (pairing guides, wine language guides, sommelier tips).

Guest users do not have access to cloud-saved pairings or restaurant collections.

4.2 Corki Basic (free, signed-in account)

Users who create a free account receive expanded access, including:

Approximately 10 pairing scans per day;
Up to 15 saved pairings and 3 saved restaurants;
7-day scan history;
Sommelier Chat with approximately 3 messages per day and 1 menu or photo attachment per day;
Basic pairing filters; and
App access in your default device language.

4.3 Corki Pro (paid subscription)

Corki Pro is available as a paid subscription and includes all Corki Basic features, plus:

Unlimited menu and meal pairing scans with no daily cap;
Full Wine List Intel access, including value scores and standout picks;
Ability to host Table Mode sessions (create a session and share a join code with guests);
Unlimited saved pairings and saved restaurants;
CSV bulk restaurant import (where available);
PDF and document menu uploads beyond Basic limits;
Access to all supported in-app languages;
Advanced pairing filters and sorting;
Unlimited scan history;
Sommelier Chat with approximately 50 messages per day and unlimited menu and photo attachments; and
Priority API processing where enabled.

4.4 Corki Sommelier (higher-tier paid subscription)

Corki Sommelier includes all features in Corki Pro, plus:

Unlimited Sommelier Chat with no daily message cap;
Exportable pairing reports in PDF and shareable formats;
A public "Sommelier" profile badge; and
Expanded Table Mode capacity (up to 10 or more guests, compared to 6 on Corki Pro).

4.5 Joining Table Mode as a guest

Any user, including free and Basic users, may join a Table Mode session hosted by a Corki Pro or Sommelier subscriber using a session code provided by the host. Guest participants are not required to hold a paid subscription.

4.6 Bill split feature

The bill split and receipt scan feature is currently available to all users and is not gated behind a paid subscription tier. The Company reserves the right to rate-limit this feature at the API level and to modify its availability at any time with notice to users.

5. Subscriptions, billing, and renewals

Corki Pro and Corki Sommelier are made available as auto-renewing subscriptions through Apple's in-app purchase system. The following terms apply:

Subscription fees are charged to your Apple ID account at confirmation of purchase.
Subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before the end of the current period.
Your account will be charged for renewal within 24 hours prior to the end of the current billing period.
You may manage and cancel your subscription at any time through your Apple ID account settings at Settings > [Your Name] > Subscriptions.
No refunds are provided for the unused portion of a subscription period, except as required by applicable law or as provided by Apple's standard refund policy.
Any free trial period, if offered, will be specified at the time of purchase. Unused portions of a free trial are forfeited upon purchase of a subscription.

Pricing for subscriptions may vary by region and is displayed in the App Store at the time of purchase. The Company reserves the right to change subscription pricing with advance notice.

All billing and refund inquiries are handled by Apple in accordance with its standard policies. The Company has no ability to process refunds directly. To request a refund, visit reportaproblem.apple.com.

6. Informational purpose only

All content provided through Corki, including but not limited to wine pairing suggestions, AI-generated sommelier recommendations, Wine List Intel scores, value picks, standout designations, tasting notes, and any other information, is provided for general informational and educational purposes only.

CORKI DOES NOT PROVIDE PROFESSIONAL SOMMELIER, WINE CONSULTING, OR BEVERAGE ADVICE. Nothing in the App constitutes or should be construed as professional advice of any kind. The Company makes no representations or warranties regarding the accuracy, completeness, reliability, or fitness for any particular purpose of any pairing recommendations or wine assessments generated by the App.

You acknowledge that wine preferences are subjective, that pairing suggestions reflect general principles and AI-generated outputs, and that your experience may differ from App recommendations. You assume full responsibility for all purchasing and consumption decisions made in connection with use of the App.

7. User accounts

To access Corki Basic or paid features, you must create an account using a valid email address or a supported third-party authentication method (Apple Sign-In or Google Sign-In). You agree to:

Provide accurate and complete registration information;
Maintain the confidentiality of your login credentials;
Be responsible for all activity that occurs under your account; and
Notify us immediately at support@corkiapp.com if you suspect unauthorized use of your account.

You may delete your account at any time through the App's account settings. Upon deletion, your data will be handled in accordance with our Privacy Policy.

8. User-generated content

The App allows you to submit content including pairing journal entries, tasting notes, ratings, photos, and restaurant information ("User Content"). By submitting User Content, you:

Represent that you have the rights to submit such content;
Grant Not a Budgeting Inc. a non-exclusive, worldwide, royalty-free license to use, store, and process such content solely for the purpose of providing the App's features to you; and
Acknowledge that User Content shared in Table Mode sessions may be visible to other session participants.

You retain ownership of your User Content. We do not sell your User Content to third parties.

9. Privacy and data

Your use of the App is subject to our Privacy Policy, which is incorporated into this Agreement by reference. By using the App, you consent to the data practices described in our Privacy Policy.

Sommelier Chat conversations are processed for the purpose of generating responses and are not permanently stored on our servers. Conversations remain on your device. For full details on data collection, processing, and retention, please review the Privacy Policy.

10. Intellectual property

The App, including all software, design, text, graphics, logos, icons, audio clips, and the selection and arrangement thereof, is the exclusive property of Not a Budgeting Inc. or its licensors and is protected by United States and international intellectual property laws.

"Corki," the Corki logo, and all related marks are trademarks or service marks of Not a Budgeting Inc. You are granted no right or license to use any Company marks without prior written consent.

Nothing in this Agreement transfers any intellectual property rights to you.

11. Prohibited conduct

You agree not to use the App to:

Violate any applicable law, regulation, or third-party rights;
Attempt to gain unauthorized access to any part of the App or its infrastructure;
Scrape, harvest, or extract data from the App by automated means;
Interfere with or disrupt the App's servers, networks, or security features;
Impersonate any person or entity or misrepresent your affiliation with any person or entity;
Use the App to transmit unsolicited communications, malware, or harmful code; or
Circumvent any subscription or access controls.

12. Availability and modifications

The App is provided on an "as available" basis. The Company reserves the right to modify, suspend, or discontinue the App or any feature at any time, with or without notice. We will endeavor to provide reasonable notice of material changes to paid subscription features.

Feature availability, daily usage limits, and tier inclusions may be updated over time. The most current description of each tier is available within the App and at corkiapp.com. Continued use of the App after changes constitutes acceptance of the modified terms.

13. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. NOT A BUDGETING INC. EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

The Company does not warrant that the App will be uninterrupted, error-free, or free of viruses or other harmful components, or that defects will be corrected. AI-generated pairing suggestions and wine assessments are not guaranteed to be accurate, complete, or suitable for any particular purpose.

Apple has no warranty obligations whatsoever with respect to the App.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NOT A BUDGETING INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM (i) YOUR USE OF OR INABILITY TO USE THE APP; (ii) ANY PAIRING RECOMMENDATION OR WINE ASSESSMENT PROVIDED BY THE APP; (iii) ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; OR (iv) ANY OTHER MATTER RELATING TO THE APP.

IN NO EVENT SHALL THE COMPANY'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THIS AGREEMENT OR THE APP EXCEED THE GREATER OF (a) THE AMOUNTS PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (b) USD $50.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. IN SUCH JURISDICTIONS, THE COMPANY'S LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

15. Apple-specific terms

You acknowledge and agree to the following with respect to Apple:

This Agreement is concluded between you and Not a Budgeting Inc. only, and not with Apple.
The license granted in this Agreement is limited to use on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.
Apple has no obligation to furnish any maintenance or support services with respect to the App.
Apple is not responsible for any product liability claims relating to the App or your possession and use of the App.
In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App to you, if any. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation with respect to the App.
Apple is not responsible for addressing any claims by you or a third party relating to the App or your possession and use of the App, including but not limited to: (a) product liability claims; (b) claims that the App fails to conform to any applicable legal or regulatory requirement; or (c) claims arising under consumer protection, privacy, or similar legislation.
In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, Apple will not be responsible for the investigation, defense, settlement, or discharge of any such infringement claim.
Apple and its subsidiaries are third-party beneficiaries of this Agreement. Upon your acceptance of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary thereof.

16. International use

The App is available globally through the Apple App Store. You are responsible for compliance with all local laws and regulations applicable to your use of the App in your jurisdiction. The App references alcoholic beverages; you represent that your access to and use of such content is lawful in your jurisdiction.

Subscription pricing, available features, and supported languages may vary by region. The Company makes no representation that the App is appropriate or available for use in all locations.

17. Term and termination

This Agreement is effective upon your first download or use of the App and continues until terminated. Your license to use the App terminates automatically and immediately if you breach any provision of this Agreement.

Upon termination: (a) all rights granted to you under this Agreement will immediately cease; (b) you must cease all use of the App and delete all copies from your devices; and (c) you will remain liable for any obligations incurred prior to termination.

The Company may also terminate or suspend your account and access to the App at its discretion, with or without cause, with reasonable notice where practicable. Sections 6, 10, 13, 14, 18, and 19 of this Agreement survive termination.

18. Governing law and dispute resolution

This Agreement is governed by the laws of the State of Delaware, without regard to its conflict of law principles, except to the extent that applicable local consumer protection laws in your jurisdiction provide greater protections.

Any disputes arising from or relating to this Agreement or the App that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

Class action waiver: YOU AND NOT A BUDGETING INC. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. If this class action waiver is found unenforceable, then the arbitration provision will be null and void.

If you are a consumer located in a jurisdiction where the above arbitration or class action waiver provisions are prohibited or unenforceable, the foregoing provisions do not apply to you, and disputes will be resolved in the courts of competent jurisdiction in your place of residence.

19. General provisions

Entire agreement. This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and Not a Budgeting Inc. with respect to the App and supersedes all prior agreements and understandings.

Severability. If any provision of this Agreement is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

Waiver. The Company's failure to enforce any right or provision of this Agreement will not constitute a waiver of future enforcement of that right or provision.

Updates to this agreement. The Company may update this Agreement from time to time. Continued use of the App after a revised Agreement is posted constitutes your acceptance of the changes. Material changes to paid subscription terms will be communicated with reasonable advance notice.

Assignment. You may not assign or transfer any rights under this Agreement without the Company's prior written consent. The Company may assign this Agreement freely, including in connection with a merger, acquisition, or sale of assets.

Export compliance. You represent that you are not located in a country subject to a U.S. government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. government list of prohibited or restricted parties.
